Terms of Use
Acceptance of Terms
By accessing or using services, resources or documentation made available by Fidoria, you acknowledge that you have read, understood and accepted these Terms of Use as well as any supplemental terms that may apply to specific services. Use of any service constitutes acceptance of the terms in effect at the time of access; Fidoria may modify these terms from time to time and continued use after such changes indicates acceptance of the revised terms.
User Responsibilities
Users are expected to interact with the services in a professional manner consistent with applicable laws and cantonal regulations; the responsibilities listed below describe a non-exhaustive set of obligations that apply to users when they access Fidoria content and deliverables.
- Provide accurate and complete information when requested and keep any user account or contact details up to date as required for correspondence and documentation.
- Use templates, checklists and guidance in a manner consistent with local legal and regulatory frameworks, seeking qualified advice where specific legal conclusions are required.
- Respect intellectual property rights and do not reproduce, distribute or modify materials beyond the scope expressly permitted in these terms and any licence accompanying particular deliverables.
- Refrain from using the services for unlawful purposes or to submit content that violates third-party rights or applicable regulations.
Service Access
Fidoria provides access to advisory content, compliance tools and contract documentation in formats indicated on the site; availability may vary according to scheduling, method of delivery and any operational constraints. Access may be modified, suspended or discontinued by Fidoria for maintenance, upgrades or other operational reasons, and users will be notified where reasonably practicable of changes that materially affect access to paid services.
Intellectual Property
All materials, templates, clause libraries and guidance remain the intellectual property of Fidoria or its licensors and are provided under licence for permitted use by the recipient; no transfer of ownership is implied other than the limited rights granted to use documentation for the recipient's professional activities as described in the applicable licence. Any reproduction or redistribution beyond that scope requires prior written permission.
Fees
Fees for particular services are as stated at the time of order or proposal and are payable according to the invoicing terms provided; payment terms, cancellation and refund provisions applicable to purchased services will be specified in the service agreement or order confirmation. Fees quoted do not constitute legal findings and the provision of services is intended to support compliance and documentation needs rather than to substitute for independent legal representation.
Limitation of Liability
To the fullest extent permitted by applicable law, Fidoria's liability for any claims arising out of or relating to these Terms of Use or the provision of services is limited; Fidoria does not accept liability for indirect or consequential losses resulting from use of templates or guidance. Users should exercise professional judgement and, where appropriate, obtain specific legal advice for transactions or disputes that give rise to material risk.
Termination
Fidoria or the user may terminate an engagement in accordance with the terms set out in the applicable service agreement or as permitted by law; upon termination, licence rights granted to the user will cease as specified in the agreement and any outstanding fees or obligations that arose prior to termination will remain payable. Termination does not affect rights or obligations that are intended to survive the end of the engagement.
